Terms of Service

1. Agreement to These Terms

These Terms of Service ("Terms") form a binding agreement between you and Aten ("Aten", "we", "us", or "our") and govern your access to and use of the Aten conversational analytics platform, websites, and related services (collectively, the "Service").

By creating an account, clicking to accept, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to that organization.

2. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, and able to form a legally binding contract to use the Service. The Service is not directed to children. By using the Service you represent that you meet these requirements.

3. Accounts and Security

To use most features you must create an account. You agree to provide accurate information and to keep it up to date. You are responsible for safeguarding your login credentials and for all activity that occurs under your account.

  • Use a strong, unique password and keep it confidential.
  • Notify us promptly at [email protected] if you suspect unauthorized use of your account.
  • You may not share your account, or transfer it to anyone else, without our consent.

4. License to Use the Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal purposes. We may update, improve, or modify the Service over time, and we may introduce or change features at our discretion.

5. Plans, Credits, Billing, and Payments

The Service is offered through a free tier and one or more paid subscription plans. Usage is metered in credits, which represent a unit of processing on the Service.

  • Credits. Each plan includes a monthly credit allowance. Credits are a usage unit only — they are not money, have no cash value, are non-transferable, and are non-refundable. Unless we state otherwise, unused credits do not roll over and reset at the start of each billing period.
  • Subscriptions and renewal. Paid plans are billed in advance on a recurring basis (for example, monthly) and automatically renew until cancelled. By subscribing, you authorize us and our payment processor to charge your payment method for each renewal.
  • Cancellation. You may cancel at any time from your account settings. Cancellation takes effect at the end of your current billing period — you keep access (and your remaining allowance) until then, and you will not be charged for the following period. We do not provide pro-rated refunds for partial periods except where required by law.
  • Payment processing. Payments are handled by a third-party processor (such as Stripe). We do not store full payment-card details. Your use of payment features may also be subject to the processor's terms.
  • Price changes. We may change prices or plan features. For recurring plans, we will give you reasonable advance notice, and changes apply to the next billing period.
  • Taxes. Stated prices may not include taxes. You are responsible for any applicable taxes other than taxes on our net income.
  • Failed payments. If a charge fails, we may retry, downgrade, or suspend your paid features until payment succeeds.

6. Connected Data Sources and Third-Party Services

The Service lets you connect third-party data sources (for example, Google Sheets or other providers) via authorization mechanisms such as OAuth. When you connect a source, you authorize us to access and process the specific data needed to fulfill your requests, in accordance with our Privacy Policy.

  • You represent that you have the right to connect each data source and to grant us access to its data.
  • Your use of connected services remains subject to those providers' own terms. Aten's use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.
  • You can disconnect a source at any time; doing so revokes our access going forward.

7. Your Content and Data

You retain all rights to the data, files, queries, and other content you submit to or generate with the Service ("Your Content"). We do not claim ownership of Your Content.

You grant us a limited, worldwide, non-exclusive license to host, store, process, transmit, and display Your Content solely as needed to operate and provide the Service to you (including sending relevant content to the AI providers described in Section 9). We do not sell Your Content, and we do not use your private content to train generalized AI models, as further described in our Privacy Policy.

You are responsible for Your Content and for ensuring you have the rights and any necessary consents to use it with the Service, and that it does not violate any law or third-party rights.

8. Acceptable Use

You agree not to:

  • Use the Service for any unlawful, harmful, or fraudulent purpose;
  • Upload or process data you do not have the right to use, or that infringes others' rights or privacy;
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems, or probe, scan, or test the vulnerability of our infrastructure;
  • Interfere with or disrupt the Service, circumvent usage limits or credit metering, or place an unreasonable load on our systems;
  • Reverse engineer, copy, resell, or create derivative works of the Service except as permitted by law;
  • Use the Service to build a competing product, or to scrape or harvest data in a manner that violates these Terms or applicable law.

9. AI-Generated Output

The Service uses large language models and automated systems to interpret your questions and generate analyses, SQL, charts, and other output. AI output can be incomplete, inaccurate, or misleading, and may not reflect your data correctly.

Output is provided for informational purposes only and is not professional, financial, legal, medical, or other advice. You are responsible for reviewing and verifying any output before relying on it or making decisions based on it. We are not liable for actions you take based on AI output.

10. Intellectual Property

The Service, including its software, design, text, graphics, and trademarks, is owned by Aten or its licensors and is protected by intellectual-property laws. Except for the limited license in Section 4, these Terms grant you no rights in the Service.

If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without obligation to you.

11. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that output will be accurate or reliable. Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.

12. Limitation of Liability

To the maximum extent permitted by law, Aten and its affiliates, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of (or inability to use) the Service.

Our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amounts you paid us for the Service in the twelve (12) months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100). These limitations apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so some may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless Aten and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

14. Suspension and Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users.

On termination, your right to use the Service ends. We will handle your data after termination as described in our Privacy Policy. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

15. Changes to the Service and These Terms

We may modify the Service or these Terms from time to time. When we make material changes to these Terms, we will update the "Effective date" above and, where appropriate, notify you in the product or by email. Changes take effect when posted unless stated otherwise. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

16. Miscellaneous

  • Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Aten regarding the Service.
  • Severability. If any provision is found unenforceable, the rest remain in effect.
  • No waiver. Our failure to enforce a provision is not a waiver of it.
  • Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
